Stock Exchange orders SPTX to clarify 1,195 million baht investment in Rasmipoom Beauty Anti-Aging
The Stock Exchange of Thailand has ordered SPTX, or SPTX, to clarify details of its 1,195 million baht investment in Rasmipoom Beauty Anti-Aging Co., Ltd., requiring the clarification to be submitted through the exchange's disclosure system by October 5, 2026, and the company's board and audit committee to give their opinions by October 12, 2026, while warning investors to study the information carefully before deciding to invest. On September 15, 2026, the SPTX board resolved to invest 1,195 million baht in the target company, representing a 92% shareholding, by purchasing shares from Rasmipoom Holding (Thailand) Co., Ltd. and Rasmipoom Holding (Hong Kong) Co., Ltd., both wholly owned by Mr. Rasmipoom Sumetheewit. The transaction qualifies as a significant acquisition of assets, with a maximum transaction size of 50.52% of total assets, and is a connected transaction, since Mr. Rasmipoom is a major shareholder and vice chairman of SPTX; after the transaction his SPTX stake will rise from 21% to 43%. As of June 30, 2026, the target company had assets of 306 million baht, shareholders' equity of 187 million baht, and net profit of 32 million baht for the six-month period. After the investment, the sellers will hold 8% of the target company and have the right to nominate at least 2 of 5 directors, with approval of major transactions requiring the consent of the seller group. The company will transfer the land and buildings that house two clinic branches and constitute its main assets back to the sellers and enter into a leaseback agreement to continue operating the business, and the sellers have agreed to a performance guarantee for five years after SPTX acquires the business, covering the expansion of no fewer than 9 branches. The exchange has asked SPTX to clarify five additional points: the timeline of Mr. Rasmipoom's shareholding and preparations for the investment; the rationale and necessity for transferring the land and buildings to the sellers and leasing them back, which will create significant related-party transactions in the future; information supporting the pricing criteria and key assumptions, including whether the land and buildings are included in the price; the proportion of SPTX's assets or operating revenue that will change and the reasonableness of the management authority and board structure at the target company; and the opinions of the board and audit committee on the reasonableness of control rights, the trading conditions, the adequacy of the investment funds, the results of the business due diligence, and the action plan if operating results or branch expansion do not meet the sellers' guarantees.

TRP Expands Hair Transplant Services and Longevity Market, Targeting International Clients
Aesthetic Connect Public Company Limited, or TRP, is pushing ahead with new services in hair transplantation and the longevity market, while stepping up aggressive marketing to capture international clients across both Europe and Asia. Chief Executive Officer Pornpiwan Niramoncherdchai said the company will maintain its existing strength in facial plastic surgery, which generates nearly all of its revenue, and build on it with specialised medical teams and well-equipped medical facilities. The hair transplant service is now available and is expected to offer customers more options and open the door to new target groups distinct from facial surgery clients. Meanwhile, the longevity market, which covers long-term health care, anti-aging and preventive care, represents another opportunity to extend the beauty business into services that better meet customer needs and to create a new revenue base in the future. On marketing strategy, the company will take a more aggressive approach to reach customers across a range of ages, lifestyles and service needs, tailoring its marketing to each area rather than applying the same strategy across all markets. The company also expects to stay on track with its financial targets under the strategy of its new CEO, which focuses on preserving the strength of the facial surgery business as the core business while generating new growth from new services and expanding its international customer base.
