Apollomics Inc. has entered into definitive subscription agreements for a private placement valued at approximately $10 million. The transaction includes cash subscriptions for 533,334 Class A Shares at $15.00 per share, generating about $8.0 million in gross proceeds, and the conversion of a $2 million unsecured Convertible Promissory Note held by CEO Hung-Wen (Howard) Chen into 166,667 Class A Shares at $12.00 per share. Several company executives and directors, including Chen, CFO Peter Kuan-How Lin, and COO Yi-Kuei (Alex) Chen through Maxpro Investment Co., Ltd., participated in the cash portion alongside unaffiliated accredited investors. No placement agents or underwriters were involved, and no commissions or finder's fees are payable. The deal is expected to close on or about August 14, 2026, subject to customary conditions.
