The total facility of 14.46 million US dollars is divided into two sub-facilities: a loan for the first vessel of 6.96 million US dollars and a loan for the second vessel of 7.50 million US dollars. The interest rate is based on USD SOFR plus a margin, and the drawdown period is within 12 months from the date of signing the agreements. The collateral consists of first-priority mortgages on two Handysize vessels, Benjamas Naree and Jintana Naree, as well as the assignment of insurance proceeds, claims, earnings and charter contracts with a term of 12 months or more, along with a pledge of the borrowers' shares. Meanwhile, the borrowers must maintain a minimum cash balance of 100,000 US dollars and a minimum debt service coverage ratio of 1.2 times. PSL, as guarantor, must maintain a net debt to total equity ratio of no more than 2 to 1 and total equity of not less than 225 million US dollars. In addition, PSL must maintain its status as a listed company on the Stock Exchange of Thailand, while the borrowers may not pay dividends or other returns to shareholders if an event of default occurs and remains unremedied.
