SGC approves sale of 1.3 billion baht auto loan portfolio to clear accumulated losses

SG Capital Public Company Limited, or SGC, under the Jaymart group, has approved the sale of an auto loan portfolio worth no more than 1.3 billion baht to an unrelated juristic person. The company will also propose to shareholders the transfer of legal reserve of 209,379,885 baht and share premium of 646,993,040 baht to offset accumulated losses of 856,372,925 baht, according to the separate financial statements as of 30 June 2026. The matter will be submitted to the first extraordinary general meeting of shareholders for 2026 on 29 September 2026, held via electronic media. After the transfer, the company will have no remaining accumulated losses and will retain share premium of 2,535,280,527 baht. SGC's major shareholders are Singer Thailand Public Company Limited, holding 75 percent, and Jaymart Group Holdings Public Company Limited, holding 2.34 percent.
