The Extraordinary General Meeting of Shareholders No. 1/2569 of SGC Capital Public Company Limited, or SGC, unanimously approved the transfer of the statutory reserve and share premium on ordinary shares to offset the company's accumulated losses under its separate financial statements. The meeting was held on 29 September 2569 at 10:00 a.m. via electronic means, with a total of 34 shareholders attending in person or by proxy, holding a combined 4,852,336,936 shares, representing 77.7615 percent of the total 6,240,028,067 issued shares, which constituted a quorum in accordance with Section 103 of the Public Limited Companies Act B.E. 2535 and Article 41 of the company's articles of association. The voting results showed 4,852,336,936 votes in favour, or 100.0000 percent, no votes against and no abstentions, for a total of 4,852,336,936 votes, or 100.000 percent.
