THRE opens 1:1 share-swap tender offer, sets up THREH holding company to list in its place by year-end

Thai Reinsurance Public Company Limited, or THRE, is preparing to launch a tender offer to exchange shares for Thai Re Group Holdings Public Company Limited, or THREH, at a ratio of 1 THRE share for 1 THREH share, running from 23 September to 20 November 2026, between 09:00 and 16:00, on business days only, for a total of 40 business days. The offer follows THREH's filing of its securities offering registration statement together with the tender offer, or Form 69/247-1, with the Securities and Exchange Commission, or SEC, on 21 September 2026, which took effect on 22 September 2026. The restructuring converts THRE into a holding company structure. Oran Wongsurapichet, Chief Executive Officer of THRE, said the conditions, offer price and acceptance period constitute a final offer, and that THREH will not change the offer or the offer price and will not extend the acceptance period. Shareholders wishing to accept the tender offer can submit an acceptance form together with supporting documents through Finansia Syrus Securities Public Company Limited, which acts as the tender offer agent. After the tender offer period ends, the company will seek to list THREH common shares on the Stock Exchange of Thailand in place of THRE shares, which will be delisted at the same time under the relevant criteria. The process is expected to be completed in late 2026. Oran warned that THRE shareholders who do not accept the tender offer and continue to hold their existing shares may face impacts on trading liquidity, as well as possible limitations on investment returns and certain tax benefits.
