As of the signing date of the plan, the relevant audit and valuation work had not been completed, and the transaction price of the target assets had not yet been determined. After the deal closes, Yuanlin Co. will control Sage Microelectronics, expanding its core business into storage controller chips and array controller chips, which will help gradually reduce its reliance on the construction segment. Previously, the company and its subsidiaries had completed the purchase of a combined 6.4969% stake in Sage Microelectronics, and on December 1, 2025, it announced plans to buy that minority stake for 112 million yuan, emphasizing at the time that it was a financial investment and would not create a controlling relationship. In the first half of 2026, Yuanlin Co. reported revenue of 261 million yuan, of which the semiconductor storage business contributed 114 million yuan, accounting for 43.78% of total revenue. Sage Microelectronics was founded in July 2011 with registered capital of 150 million yuan. It filed for a STAR Market IPO in December 2022 and withdrew in May 2024. Unaudited data show that in the first half of 2026, Sage Microelectronics achieved revenue of 235 million yuan and net profit attributable to the parent of 12.3067 million yuan, turning from loss to profit.
