Thomson Reuters prices US$1.3B U.S. notes and C$1B Canadian placement

Thomson Reuters has priced a dual-currency debt transaction combining a U.S. public offering and a Canadian private placement, raising aggregate net proceeds of approximately US$1.29B and C$997M respectively, with both offerings expected to close on September 17, 2026. The U.S. tranche totals US$1.3B and is issued by Delaware subsidiary TR Finance LLC with full guarantees from Thomson Reuters Corporation and select subsidiaries, comprising US$800 million of 5.100% notes due 2028 and US$500 million of 5.750% notes due 2033, both paying interest semi-annually. Concurrently, Thomson Reuters will directly issue a C$1B Canadian private placement, fully guaranteed by specified subsidiaries, structured as C$350M of 4.130% notes due 2029, C$350M of 4.480% notes due 2031, both with semi-annual coupon payments, and C$300M of floating rate notes due 2029 that pay interest quarterly at daily compounded CORRA plus 0.76% per annum. Thomson Reuters plans to deploy the net proceeds from both offerings for general corporate purposes, including the repayment of outstanding debt under its commercial paper program.
