The board also approved the disposal of five leading projects to the AWR trust: Banyan Tree Samui at a minimum sale price of 6.463 billion baht, Banyan Tree Krabi Resort at a minimum sale price of 4.884 billion baht, Melia Koh Samui at a minimum sale price of 5.895 billion baht, Pattaya Marriott Hotel at a minimum sale price of 6.1 billion baht, and The Empire project at a minimum sale price of 25.107 billion baht. If all five projects are sold together, the minimum total sale price will be no less than 48.449 billion baht, excluding related taxes and expenses, with an estimated preliminary value within a limit of 50 billion baht. After the asset disposal, AWR-Hs will become the lessee of the hotel projects to continue operating the hotel business, while AWR-R will serve as the property manager for The Empire project. In addition, AWC plans to subscribe to AWR trust units at no more than 28% of the total issued and sold trust units, and will act as project manager and developer, with the right to charge a management fee of 3.5% of the total project development value. The meeting also acknowledged a plan to study nine additional projects for possible future sale to AWR. The trust manager is currently preparing to file the registration statement with the Securities and Exchange Commission in accordance with the next steps.
