Both companies are expected to be established by September 2026. The five projects slated for sale are Banyan Tree Samui, with a minimum sale price of 6.463 billion baht; Banyan Tree Krabi Resort at 4.884 billion baht; Melia Koh Samui at 5.895 billion baht; Pattaya Marriott at 6.1 billion baht; and The Empire project at 25.107 billion baht. AWC will allow all or part of the assets to be sold to AWR, and after the assets are transferred to AWR, AWR-Hs will lease the hotel assets back from AWR to continue operating the business, while The Empire will have AWR-R take over real estate management. In addition, AWC has been approved to act as Development Manager overseeing the development of projects in which AWR invests, with the right to receive project management and development fees at a rate of 3.5% of total project development costs, excluding construction management fees. On the investment side, AWC plans to subscribe to AWR trust units of not more than 28% of the total units issued and offered, using cash flow from operations, loans from financial institutions, and/or other funding sources. Meanwhile, AWC is also studying another nine projects for possible future inclusion under AWR. As for next steps, the transaction must still pass key conditions, such as the trust manager receiving approval from the Securities and Exchange Commission, being properly established by law with sufficient capital, and obtaining consent from creditors and relevant counterparties, as well as completing asset due diligence. AWC stated that the sale of the five projects, together with the leaseback and the subscription to AWR trust units, represents less than 25% of total assets, qualifying as a small-scale transaction under the relevant criteria and not a connected transaction.
