The complaint follows a June 24, 2026, announcement by Hertz of a $300 million notes offering and a share-lending program involving more than 37 million shares, alongside a disclosure that second-quarter Adjusted Corporate EBITDA would fall to between $50 million and $80 million due to used-car market softness. On that news, Hertz’s stock price dropped $2.06 per share, or 40.71%, to close at $3.00 per share.
