Bank of Shanghai approved to acquire 100% stake in BOSC International

The Shanghai bureau of the National Financial Regulatory Administration has approved Bank of Shanghai's acquisition of a 100% stake in BOSC International Company Limited. After the acquisition, BOSC International will become a direct first-tier subsidiary of Bank of Shanghai, instead of being indirectly held through BOSC Hong Kong. BOSC International has posted losses for five consecutive years, with combined losses of 2.557 billion Hong Kong dollars from 2021 to 2025, weighing on the performance of BOSC Hong Kong, which injected capital into it three times in 2023 and 2024. BOSC International is Bank of Shanghai's overseas investment banking platform, holding Type 1, Type 4, Type 6 and Type 9 licences under Hong Kong's Securities and Futures Ordinance. It lost 126 million Hong Kong dollars in 2025, while Bank of Shanghai reported a net profit of 24.2 billion yuan that year. After the upgrade, BOSC International will sit at the same level as BOSC Hong Kong, focusing on investment banking and banking businesses respectively, allowing Bank of Shanghai to promote cross-border financial business development through direct capital injections and stronger management.
