Chewathai Public Company LimitedCHEWA bondholders failed to reach quorum and must re-vote on waivers, maturity extensions, and early-redemption changes, signaling debt-repayment stress.

The Securities and Exchange Commission (SEC) disclosed that Chewathai Public Company Limited, or CHEWA, as issuer of bonds CWTTH26OA, CWTTH272A, CWTTH276A, CWTTH27NA, CWTTH27NB, CWTTH282A and CWTTH283A, held the first bondholders' meeting of 2026 on 30 September 2026, but the bondholders attending did not constitute a quorum as required under the rights terms. The company must therefore hold another bondholders' meeting for all seven series on 7 October 2026 at 2:00 p.m. via electronic means, or E-meeting. The key agenda items include granting a waiver so that the holding of bondholders' meetings to adjust debt repayment conditions is not treated as an event of default under the rights terms, for certain series only; extending the bond maturity dates; and amending the conditions for early redemption of the bonds before maturity. The SEC requires the bondholders' representative to clearly analyse the pros and cons, benefits and impacts that bondholders would receive from approving or not approving each resolution, for each option, together with the reasons and opinions of the bondholders' representative. The SEC therefore urges bondholders to study the information carefully, exercise their rights as bondholders to protect their own interests, and seek various information from the bondholders' representative so that they have complete information for deciding how to vote at the bondholders' meeting.
