Vaisala Board Approves Directed Issue of 250,000 Series A Shares to Itself

Vaisala Corporation's Board of Directors has resolved on a directed share issue without consideration to the company itself, issuing a total of 250,000 new series A shares. The issue is carried out under the authorization granted by the Annual General Meeting held on 24 March 2026 and in accordance with Chapter 9, Section 20 of the Finnish Limited Liability Companies Act. The shares will subsequently be transferred as share consideration to the sellers of Atmo, Inc. to pay the agreed share consideration portion in that acquisition, with any remaining shares available for the company's incentive plans. The new shares are expected to be registered with the Finnish Trade Register on or about October 6, 2026, after which they will be entered into the book-entry securities system maintained by Euroclear Nordics Ltd and application will be made to admit them to trading on the official list of Nasdaq Helsinki Ltd. Following registration, Vaisala will hold a total of 403,420 series A treasury shares, representing 1.20% of the series A shares and 1.10% of all shares, and the company's total number of shares will be 36,686,728, of which 3,051,928 are series K shares and 33,634,800 are series A shares.
